Kredit Tools Terms and Conditions

1. Definitions

• "Software" means the Kredit Tools desktop application and each Tool within it, together with any updates, documentation, and related services, in whatever form delivered.
• "Subscription" means a paid, recurring right to access the Software for successive calendar months, as described in Section 8.
• "User Data" means any data, files, figures, or documents you input into or generate using the Software, including client financial information held on your device.
• "Output" means anything the Software calculates, compiles, formats, or generates, including registers, schedules, computations, journals, workpapers, and reports.
• "Professional Body" means SAICA, SAIPA, IRBA, or any other professional, regulatory, or oversight body to which you or your firm belong or are accountable.

2. Nature of the Product — please read this carefully

2.1 Kredit Tools provides calculation and compilation software only. The Tools help licensed users build fixed asset registers, lease schedules, tax computations, VAT support, diesel logbooks, sanitised datasets, and related working papers faster and more consistently.

2.2 The Software does not provide accounting, auditing, taxation, legal, or any other professional advice. No Output is an opinion, assurance engagement conclusion, compilation report, tax practitioner service, or professional judgement of Kredit Tools. The Software performs calculations and formatting based on the inputs you supply; it does not verify the completeness, accuracy, or appropriateness of those inputs, and it does not apply professional judgement for you.

2.3 Creating an account, subscribing, exchanging support emails or chats, or using the Software does not create a client–practitioner, auditor–client, tax-practitioner, or advisory relationship with Kredit Tools. Support responses explain how the Software works; they are not advice on your (or your client's) facts, filings, or engagements.

2.4 Kredit Tools is not a party to, and accepts no responsibility for, any engagement between you and your client, employer, or any third party.

3. No Duty to Third Parties

3.1 Kredit Tools owes no duty of care to your clients, SARS, CIPC, IRBA, SAICA, SAIPA, any other Professional Body, financier, shareholder, or any other third party.

3.2 You must not state or imply that Kredit Tools has verified, audited, reviewed, approved, certified, or signed off any working paper, return, register, schedule, or Output. Outputs are licensed for use by you (and, where applicable, your firm) only.

3.3 If you share Output with a client or third party, you do so entirely in your own name and under your own professional responsibility. Kredit Tools is not a joint author, co-assurer, or co-compiler of that work.

4. Your Non-Delegable Professional Duties

4.1 You remain fully and solely responsible for independently verifying every material figure, classification, rate, threshold, disclosure, and conclusion against:

• the underlying source documents and client records;
• current legislation and subordinate legislation, including the Companies Act, the Income Tax Act, the Value-Added Tax Act, and related regulations;
• IFRS, IFRS for SMEs, and any other financial-reporting framework applicable to the engagement;
• SARS interpretation notes, binding general rulings, guides, and prevailing practice, where relevant; and
• the standards, rules, and code of conduct of your Professional Body.

4.2 The Software may contain errors, omissions, outdated rates or thresholds, incomplete treatments, or edge cases that are not handled. Tax law, accounting standards, and SARS practice change. You must confirm that Output remains appropriate under the law and standards in force for the period and facts at hand.

4.3 You (and your firm) remain solely responsible for any engagement conclusion, opinion, return, filing, disclosure, or advice that you issue, regardless of whether the Software was used in preparing it.

4.4 If you are a member of a Professional Body, or work under the supervision of such a member, nothing in these Terms reduces your professional obligations. The Software is a tool within your workflow; it does not replace your review.

5. Early / Imperfect Software and Residual Risk

5.1 The Tools are independently built software products, including with AI-assisted development. They are not guaranteed to be free of defects.

5.2 By using the Software you expressly accept that residual calculation-error risk remains with you. You agree to maintain review procedures appropriate to professional workpapers before relying on Output or releasing it to any third party.

5.3 Kredit Audit, being the audit tools opened from the Kredit Launcher, forms part of the Software. Kredit Audit is an early-access, in-development version. It is provided free of charge for now and "as is", and it may change, be interrupted, or be withdrawn, in whole or in part, at any time. Sections 2 (Nature of the Product), 11 (Disclaimer of Warranties), 12 (Limitation of Liability), and 13 (Indemnity) apply in full to Kredit Audit and to any Output it produces.

6. Eligibility and Account Security

6.1 You must be at least 18 years old and have authority to bind yourself (or, if applicable, your firm) to these Terms.

6.2 You are responsible for the accuracy of the information you provide when creating an account, for keeping login credentials confidential, and for all activity under your account. You must not share logins. Notify us promptly if you suspect unauthorised access.

7. Licence to Use the Software

7.1 Subject to these Terms and payment of applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the Software for your own professional work, or that of your firm, for the duration of your Subscription (or other authorised access period).

7.2 You may not: sell, resell, sublicense, rent, or distribute the Software; reverse engineer, decompile, or attempt to extract source code except to the extent South African law expressly permits and cannot be waived; remove or alter proprietary notices; circumvent licensing or payment controls; share credentials; or use the Software to build a competing product.

7.3 All intellectual property in the Software — including code, design, trademarks, and underlying methodology — belongs to Kredit Tools or its licensors. Nothing in these Terms transfers that intellectual property to you.

8. Fees, Subscriptions, and Refunds

8.1 Access to the Software is provided on a Subscription basis unless we expressly grant trial, beta, or complimentary access. Each successful payment grants access for the paid calendar month, until the next renewal date.

8.2 Subscriptions automatically renew monthly, and your payment method will be charged automatically at the then-current price, until you cancel.

8.3 You may cancel at any time from within the account area or by contacting us. Cancellation stops future renewals; it does not entitle you to a refund for the period already paid for, except as set out below.

8.4 We may change our prices from time to time. We will give you at least 14 days' notice of any price increase before it applies to your next renewal.

8.5 Payments are processed by Lemon Squeezy, who acts as the merchant of record. We do not store your full card details.

8.6 Fees are generally non-refundable. Once a payment is made, you have access for the paid calendar month regardless of how much you use the Software.

8.7 This does not affect any refund or cancellation right you may have under South African consumer protection law where it applies to you, including rights under the Consumer Protection Act, 2008 ("CPA"), or the Electronic Communications and Transactions Act, 2002 ("ECTA"). Nothing in these Terms excludes rights that the law does not allow to be excluded.

8.8 If we are unable to provide access due to a fault on our side for a continuous period of more than 48 hours, you may request a pro-rata credit for that downtime.

8.9 Any free trial or beta access is provided "as is," may be modified or withdrawn at any time, and does not carry the same service expectations as a paid Subscription.

9. Local Data and POPIA Roles

9.1 User Data belongs to you. Kredit Tools does not claim ownership over data, files, or figures you input or generate using the Software.

9.2 Client working files and related personal information stay on your device. Kredit Tools does not upload, host, or receive those client files in the ordinary operation of the desktop Tools. You (or your firm) are the responsible party under the Protection of Personal Information Act, 2013 ("POPIA") for personal information in those local files.

9.3 Kredit Tools is the responsible party only for personal information it actually holds in order to operate the service — typically account, authentication, billing, and related support records. Further detail is in our Privacy Policy.

9.4 You are responsible for maintaining your own backups of User Data on your devices.

10. Suspension and Termination

10.1 We may suspend or terminate your account, without liability to you, if we reasonably believe that you have shared credentials, damaged or interfered with the Software, circumvented licensing or payment controls, used the Software unlawfully, or failed to pay fees when due.

10.2 Where reasonably possible, we will give you notice and an opportunity to respond before suspending, except where immediate action is necessary to protect the Software, our systems, or other users.

10.3 Suspension or termination under this clause does not entitle you to a refund of fees already paid, except where non-excludable law requires otherwise.

10.4 Either party may end a Subscription for convenience by cancelling as described in Section 8.3 (you) or by withdrawing access at period end in accordance with these Terms (us).

11. Disclaimer of Warranties

11.1 To the fullest extent permitted by law, the Software is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory — including any warranty of accuracy, completeness, merchantability, fitness for a particular purpose, uninterrupted or error-free operation, or non-infringement.

11.2 We do not warrant that the Software's calculations or Output will comply with any specific IFRS interpretation, SARS requirement, Professional Body standard, or your particular engagement circumstances. You must confirm suitability for your facts and the current law.

12. Limitation of Liability

12.1 The Software is supplied for professional and business use by accountants, accounting firms, and similar professional users. Where you are a juristic person whose asset value or annual turnover equals or exceeds the threshold determined under the CPA, the CPA does not apply to these Terms.

12.2 To the fullest extent permitted by law, Kredit Tools' total aggregate liability to you arising out of or in connection with these Terms or your use of the Software — whether in contract, delict (including negligence), statute, or otherwise — is limited to the total fees you paid to us in the 12 months preceding the event giving rise to the claim.

12.3 To the fullest extent permitted by law, we are not liable for any indirect, special, incidental, exemplary, or consequential loss, or for loss of profits, revenue, data, goodwill, business, clients, or opportunity; reputational harm; SARS penalties, additional tax, interest, or understatement penalties; professional-indemnity claims by your clients; disciplinary action by a Professional Body; or loss or suspension of practising rights — whether or not we were advised of the possibility of such loss.

12.4 Nothing in these Terms excludes or limits liability that South African law does not allow to be excluded or limited, including liability for gross negligence, wilful misconduct, or fraud, and any CPA or ECTA rights that cannot lawfully be excluded.

13. Indemnity

You indemnify and hold Kredit Tools, its directors, and personnel harmless against any claim, loss, damage, penalty, or expense (including reasonable legal costs on the attorney-and-client scale) arising from: your use or misuse of the Software; reliance on Output by you, your firm, your clients, or any third party; SARS or other tax-authority disputes, assessments, or penalties tied to filings or positions you prepared; Professional Body complaints or disciplinary processes connected with your work; your breach of these Terms; or any duty you owe to a client or third party.

14. Claims Procedure and Time Limit

14.1 You must give us written notice of any claim arising out of these Terms or the Software as soon as reasonably possible after you become aware of the facts giving rise to it, including reasonable detail of the claim.

14.2 Subject to Section 12.4 and any non-excludable statutory rights, you agree that any proceedings against Kredit Tools in connection with these Terms or the Software must be commenced within 12 months after the cause of action arose. This contractual limitation is intended for professional / business users of the Software. It does not shorten any prescription period where the law forbids that result for a particular claimant.

15. Confidentiality

Each party will keep confidential any non-public information disclosed by the other in connection with the Software, and use it only for the purposes of these Terms, except where disclosure is required by law or a competent authority.

16. Changes to These Terms

16.1 We may update these Terms from time to time. The version identifier at the top of this page shows the current version.

16.2 For material changes, we will require a fresh affirmative acceptance (clickwrap) of the new version before you continue to use the account or Software. Continued use alone is not relied on as acceptance of a material change. We may also notify you by email or in-product notice.

17. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including power or internet outages, load shedding, labour disputes, epidemic, government action, or third-party service failures (such as Lemon Squeezy, Supabase, or hosting providers).

18. General

18.1 Entire agreement. These Terms, together with the Privacy Policy and any order or payment confirmation for your Subscription, are the entire agreement between you and Kredit Tools regarding the Software and supersede prior proposals or representations on the same subject.

18.2 Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary to make it enforceable, or severed; the remaining provisions continue in force.

18.3 No waiver. A failure or delay in enforcing a provision is not a waiver of that provision or of any other.

18.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a corporate reorganization, sale, or transfer of the Software-related business.

18.5 Notices. Notices under these Terms may be sent to hello@kredittools.co.za (to us) and to the email address on your account (to you). Notices are deemed received when sent by email, unless the sender receives an immediate delivery-failure notice.

18.6 Language. These Terms are concluded in English. That is the governing language for interpretation.

18.7 Governing law and jurisdiction. These Terms are governed by the laws of the Republic of South Africa. The parties submit to the non-exclusive jurisdiction of the Western Cape Division of the High Court of South Africa.
