1. Definitions

2. Nature of the Service — please read this carefully

2.1 Kredit Tools provides calculation and compilation software. The Tools help you build fixed asset registers, lease schedules, tax computations, and related working papers faster and more consistently.

2.2 The Software does not provide accounting, auditing, taxation, or legal advice, and no Output constitutes an opinion, assurance, or professional judgement of any kind. The Software performs calculations based on the inputs you provide; it does not verify the completeness, accuracy, or appropriateness of those inputs, nor does it apply professional judgement to them.

2.3 If you are a member of SAICA, SAIPA, or another professional body, or are working under the supervision of such a member, you remain fully and solely responsible for:

3. Eligibility

3.1 You must be at least 18 years old and have the authority to bind yourself (or, if applicable, your firm) to these Terms.

3.2 You are responsible for the accuracy of the information you provide when creating an account.

4. Your Account and Security

4.1 You are responsible for keeping your login credentials confidential and for all activity that occurs under your account.

4.2 You must notify us promptly if you suspect unauthorised access to your account.

5. Licence to Use the Software

5.1 Subject to these Terms and payment of applicable fees, we grant you a personal, non-exclusive, non-transferable, revocable licence to use the Software for your own professional work, or that of your firm, for the duration of your Subscription.

5.2 You may not: sell, resell, sublicense, or distribute the Software; reverse engineer, decompile, or attempt to extract the source code, except to the extent permitted by law; remove or alter any proprietary notices; or use the Software to build a competing product.

5.3 All intellectual property in the Software — including its code, design, and underlying methodology — belongs to Kredit Tools or its licensors. Nothing in these Terms transfers any such intellectual property to you.

6. Your Data

6.1 User Data always belongs to you. Kredit Tools does not claim any ownership over the data, files, or figures you input or generate using the Software.

6.2 We will not access, use, or share your User Data except: to provide the Software to you; to provide you with support you request; where required by law; or where you give explicit consent.

6.3 The Software currently stores your User Data locally on your device. You are responsible for maintaining your own backups of User Data. If cloud sync or backup features are introduced in the future, this section will be updated to reflect that.

6.4 If your Subscription ends or is suspended, you will have 30 days from the date of ending or suspension to export your User Data before it may be deleted. We will make reasonable efforts to notify you before permanent deletion.

6.5 Personal information. To the extent User Data includes personal information as defined in the Protection of Personal Information Act, 2013 ("POPIA"), we process it only as necessary to provide the Software, and take reasonable technical and organisational measures to secure it. Further detail is set out in our separate Privacy Policy.

7. Fees and Subscriptions

7.1 Access to the Software is provided on a Subscription basis. Each successful payment grants access for 30 days from the date of payment.

7.2 Subscriptions automatically renew every 30 days, and your payment method will be charged automatically at the then-current price, until you cancel.

7.3 You may cancel at any time from within the app or by contacting us. Cancellation stops future renewals; it does not entitle you to a refund for the period already paid for, except as set out in Section 9.

7.4 We may change our prices from time to time. We will give you at least 14 days' notice of any price increase before it applies to your next renewal. Continuing to use the Software after a price change takes effect constitutes acceptance of the new price.

7.5 Payments are processed via PayFast. We do not store your card details.

8. Free Trials and Beta Access

8.1 Any free trial or beta access period is provided "as is," may be modified or withdrawn at any time, and does not carry the same service expectations as a paid Subscription.

9. Refunds

9.1 Fees are generally non-refundable. Once a payment is made, you have access for the full 30-day period regardless of how much you use the Software.

9.2 This does not affect any refund or cancellation right you may have under South African consumer protection law where it applies to you, including any rights under the Consumer Protection Act, 2005, or the Electronic Communications and Transactions Act, 2002. Nothing in these Terms is intended to exclude such rights where the law does not allow them to be excluded.

9.3 If we are unable to provide access due to a fault on our side for a continuous period of more than 48 hours, you may request a pro-rata credit for that downtime.

10. Suspension and Termination for Misuse

10.1 We may suspend or terminate your account, without liability to you, if we reasonably believe that you have:

10.2 Where reasonably possible, we will give you notice and an opportunity to respond before suspending your account, except where immediate action is necessary to protect the Software or other users.

10.3 Suspension or termination under this clause does not entitle you to a refund of fees already paid, and does not affect your right to export your User Data under Section 6.4.

10.4 Either party may terminate for convenience by ceasing / cancelling the Subscription (see Section 7.3).

11. Disclaimer of Warranties

11.1 The Software is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including any warranty of accuracy, reliability, fitness for a particular purpose, or that the Software will be uninterrupted or error-free.

11.2 We do not warrant that the Software's calculations will comply with any specific IFRS interpretation, SARS requirement, or professional standard as they may be updated from time to time. You are responsible for confirming that Output is appropriate for your specific facts and current standards.

12. Limitation of Liability

12.1 To the fullest extent permitted by law, Kredit Tools' total liability to you arising out of or in connection with these Terms or your use of the Software, whether in contract, delict, or otherwise, is limited to the total fees you paid to us in the 12 months preceding the event giving rise to the claim.

12.2 We will not be liable for any indirect, special, incidental, or consequential loss, including loss of profits, loss of clients, or reputational harm, even if we were advised of the possibility of such loss.

12.3 Nothing in these Terms limits liability that cannot be limited under South African law, including liability for gross negligence, wilful misconduct, or fraud.

13. Indemnity

You indemnify and hold Kredit Tools harmless against any claim, loss, damage, or expense (including reasonable legal costs) arising from: your use or misuse of the Software; your reliance on, or third-party reliance on, any Output; your breach of these Terms; or your breach of any professional, statutory, or legal duty owed to your client or any third party.

14. Confidentiality

Each party will keep confidential any non-public information disclosed by the other in connection with the Software, and use it only for the purposes of these Terms, except where disclosure is required by law.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes (for example, by email or an in-app notice) at least 14 days before they take effect. Continued use after that date constitutes acceptance.

16. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including power or internet outages, load shedding, or third-party service failures (such as PayFast or Supabase).

17. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa. The parties submit to the non-exclusive jurisdiction of the Western Cape Division of the High Court of South Africa.
